1. Contract Formation

Validity of Quote: All quotations provided are valid for [7/14] days due to the volatility of agricultural commodity prices, unless otherwise stated in writing.

Acceptance: A contract is considered "Confirmed" only upon receipt of a signed Proforma Invoice (PI) and the agreed advance payment or an operative Letter of Credit (LC).

2. Quality & Specifications

Standards: Goods will strictly conform to the specifications mentioned in the contract (e.g., moisture content, purity, admixture, and grain length).

Inspection: Pre-shipment inspection (PSI) by an independent agency like SGS, Geo-Chem, or QSS at the port of loading shall be final and binding regarding quality and quantity. The cost of such inspection is typically borne by the [Seller/Buyer].

Rejection: Any quality claims must be submitted within 15 days of the vessel's arrival at the discharge port, supported by a report from an internationally accredited surveyor.

3. Pricing & Inco terms (2020)

All prices are quoted based on Inco terms 2020 (e.g., FOB Mundra, CIF Dubai, or CFR Chittagong).

FOB (Free on Board): CGF Exports is responsible until the goods cross the ship’s rail.

CIF/CFR: CGF Exports handles freight (and insurance for CIF) to the destination port, but the risk transfers to the buyer once goods are loaded at the origin.

4. Payment Terms

To ensure secure cash flow, we operate under the following standard modes:

• Advance T/T: 50% advance at the time of order; balance 50% against scanned copies of shipping documents (Bill of Lading).
• Irrevocable Letter of Credit (L/C): 100% Irrevocable L/C at Sight from a Prime/Top-tier Bank.
• CAD (Cash Against Documents): Available only for established clients with a proven trade history.

5. Shipping & Delivery

Timeline: Shipment will typically occur as per prior communicated days of receipt of the advance payment or operative L/C.

Force Majeure: CGF Exports shall not be liable for delays caused by "Acts of God," strikes, government bans, or port congestions beyond our control.

Transhipment: Allowed unless explicitly prohibited by the buyer in the contract.

6. Documentation

CGF Exports will provide the following standard set of documents:

• Commercial Invoice & Packing List.
• Certificate of Origin.
• Phytosanitary Certificate.
• Full set of "Clean Shipped on Board" Bill of Lading.
• Insurance Certificate (for CIF contracts).
• Lab Analysis Report (if applicable).

7. Dispute Resolution & Governing Law

Amicable Settlement: Both parties agree to attempt to resolve any disputes through mutual negotiation first.

Arbitration: If unresolved, disputes shall be settled by arbitration through the Indian Council of Arbitration (ICA) or ICC, with the seat of arbitration being Bengaluru, India.

Governing Law: This agreement shall be governed by and construed in accordance with the Laws of India.
